The Address on Your Business Paperwork Matters

Most small businesses have three or four different addresses on file in places they have forgotten about. The LLC paperwork says one thing. The bank has another. The insurance policy has a third. Somewhere there is a mailing address nobody has used since 2023.

For years this causes no trouble at all. Then one day something specific breaks, and tracing it back takes a week.

Where your address is actually written down

Longer list than people expect. Your Secretary of State filing has a registered office address. The Comptroller has a mailing address. Your bank has one on the account, and a different one on the debit cards. Your carrier accounts each have one. Your insurance policy, your licensing board, your merchant processor, and your Google listing all have one.

Nothing forces these to match. Nothing tells you when they drift apart. They just quietly disagree until something checks.

What goes wrong when they disagree

Your Google listing will not verify. This one is common and genuinely maddening, because the rejection never says why. Verification reviewers look at the address on file, and a mismatch against your public state record gives them a reason to decline. Owners then film verification videos over and over, which is not the problem and cannot fix it.

Checks come back or land wrong. Banks match names and addresses more carefully than most people realise. A check made out to a business at an address the bank does not recognise for that account creates friction at deposit, and sometimes a rejection.

You miss legal notices. This is the serious one. Your registered office is the address where your business gets served legal papers. If it points somewhere you no longer check, a lawsuit or a state notice can arrive, sit, and expire without you ever seeing it. Default judgments happen this way.

Carrier accounts get flagged. Account address versus shipping address mismatches trigger reviews, and reviews slow down accounts at exactly the moment you need them.

Check yours, it takes ten minutes and costs nothing

Start with the state, because that record is public and it is the one everyone else checks against.

Go to the Texas Comptroller’s franchise tax account status search and look up your business by name or taxpayer number. It shows you your registered office street address, your mailing address, your registered agent, and whether your right to transact business is active. All of it, free, in about ninety seconds.

Read both addresses carefully. Not the one you think is there. The one that is actually printed.

We have looked this up with owners standing at our counter and watched them discover their registered office is an address they left years ago, or a mailbox they closed, or their old accountant’s office. It happens constantly, because whoever filed the paperwork used whatever was convenient that day and nobody has looked since.

Fixing the state record

Changing your registered office is Form 401 with the Texas Secretary of State, Change of Registered Agent or Registered Office. The filing fee is about fifteen dollars and whoever handles your business filings can do it quickly.

One thing worth understanding: a registered office is meant to be a real street address where a person can be found during business hours to accept documents. That is the entire point of it. So moving it from a stale address to a real one makes your paperwork more correct, not less.

Where a mailbox fits, honestly

We rent private mailboxes, so take this as coming from someone with a reason to tell you otherwise.

A private mailbox with a real street address is genuinely useful. You get a street address rather than a post office box, which means carriers that refuse to deliver to a PO Box will deliver to you. Packages get signed for and held securely instead of sitting on a porch. Your home address stays off your website, your invoices and your business cards, which matters more than most people think if you work from home. And your address does not change when you move.

Here is what it is not. It is not the right address for a Google Business Profile, where mail-forwarding and mailbox addresses are not eligible even when hidden from public view. It is generally not the right registered office, since that is supposed to be a place where a person can be served. Some banks and some licensing boards will not accept one either, and they will not always tell you why.

So the honest version is that a mailbox is excellent for receiving things and poor for being the legal home of your business. Those are two different jobs, and a lot of trouble comes from one address being asked to do both.

What good looks like

A real physical location for your legal filings, your bank and your licensing. That can be your home, and for a service business run out of a truck it usually is. It does not have to appear on your website.

A mailbox address for receiving mail and packages, on your business cards, your invoices and your shipping accounts.

The same business name spelled identically everywhere. Not “Texas Style Mechanical” in one place and “Texas Style Mechanical Plumbing LLC” in another. Small mismatches cause real delays at banks and licensing boards.

And a note in your calendar to look at all of it once a year, because these drift on their own.
